Welcome to Hekavor. Please read on to learn the rules and restrictions that govern your use of our website(s), products, services and applications (the "Services"). If you have any concerns regarding these terms or the Services, please contact us at contact@hekavor.com.
These Terms of Service (the "Terms") are a binding contract between you and Hekavor, Inc. ("Hekavor," "we" and "us"). Your use of the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services. These Terms include the Privacy Policy (hekavor.com/privacypolicy) and any other relevant policies as may be notified to you from time to time. Your use of or participation in certain Services may also be subject to additional policies, rules and/or conditions ("Additional Terms"), which are incorporated herein by reference, and you understand and agree that by using or participating in any such Services, you agree to also comply with these Additional Terms.
Please read these Terms carefully. They cover important information about Services provided to you. These Terms include information about limitations of liability, arbitration and waiver of class actions, artificial intelligence disclosure and a disclaimer that we do not provide medical advice. PLEASE NOTE THAT YOUR USE OF AND ACCESS TO OUR SERVICES ARE SUBJECT TO THE FOLLOWING TERMS; IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS THE SERVICES IN ANY MANNER.
ARBITRATION NOTICE AND CLASS ACTION WAIVER: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE DISPUTE RESOLUTION SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Do I need to accept these Terms each time I use the Services?
Yes since the Services are not currently provided on a continuous or ongoing basis. The Services are session-based and are intended for use in connection with your interactions as a patient with your Health Care Provider, including but not limited to appointments, consultations, follow-ups, and responses to patient communications.
We are constantly improving our Services, and these Terms may be updated from time to time. You will be required to review and accept the then-current version of these Terms each time you access or use the Services. Your acceptance at the time of use will govern that session.
What about my privacy?

Children's Online Privacy Protection Act
Our Services are intended solely for individuals who are at least 18 years of age. The Services are not directed to, and must not be used by or on behalf of, minors. You must not provide any information relating to a minor or a child, including your own child, through the Services.
If we learn we have collected personal information from a child/minor, we will delete that information as quickly as possible. If you believe that a minor may have provided us personal information, please contact us at contact@hekavor.com
Health Insurance Portability & Accountability Act
Some professionals you may interact with in connection with our Services qualify as "health care providers" under the Health Insurance Portability & Accountability Act ("Health Care Providers" and "HIPAA", respectively). Such Health Care Providers may require you to review and acknowledge their specific HIPAA Notice of Privacy Practices; any such terms are between you and such Health Care Provider. We encourage you to review our Privacy Policy at hekavor.com/privacypolicy, which provides additional information on how Hekavor may use your Personal Data (as defined in the Privacy Policy).
What are the basics of using Hekavor?
The Services are designed to support Health Care Providers streamline the collection, organization, and presentation of patient medical history, symptom tracking, possible diagnosis and health insights and related information. Hekavor acts solely as a technology service provider that facilitates the exchange and structuring of information between you and your Health Care Provider, and does not provide medical care or make medical decisions.
As part of the Services, once you reach out to your Health Care Provider for your health needs, your Health Care Provider will send you a secure access link via Hekavor to help you complete a health intake conversation with an AI-assisted clinical assistant - Mari (hereinafter "clinical assistant"). The secure access link will be sent to you on the email or phone number registered with your Health Care Provider. The responsibility of sending you the secure access link is with your Health Care Provider.
On accessing this link, you can start a confidential conversation with the clinical assistant. This conversation helps your Health Care Provider understand your symptoms and health needs so they can provide more personalized care. At the end of the conversation, you will be given a summary of the information you provided. You may review this summary and discuss it with your Health Care Provider. Your detailed health summary with possible diagnoses will also be sent to your Health Care Provider for their review. They will review this information and will have a head start with discussing your symptoms in more detail.
The secure access link is unique to you and you are responsible for any activity associated with your secure access link. You are responsible for maintaining the confidentiality of your secure access link, the conversation you have with the clinical assistant and for using the Services only as intended.
You acknowledge that any information, outputs, summaries, or reports generated through the Services are based on the information you provide and are intended to support, and not replace, the professional judgment of your Health Care Provider. Accordingly, Hekavor shall not be responsible for the accuracy, completeness, or clinical use of such information, or for any decisions, diagnoses, or treatments made by you or your Health Care Provider in reliance on the clinical assistant or Services.
You represent and warrant that you are an individual of legal age to form a binding contract. You will only use the Services for your own internal, personal, non-commercial use, and not on behalf of or for the benefit of any third party, and only in a manner that complies with all laws that apply to you.
THE SERVICES SHOULD NEVER BE USED AS A SUBSTITUTE FOR EMERGENCY CARE. IF YOU HAVE A MEDICAL OR MENTAL HEALTH EMERGENCY, ARE THINKING ABOUT SUICIDE OR TAKING ACTIONS THAT MAY CAUSE HARM TO YOU OR TO OTHERS, YOU SHOULD SEEK EMERGENCY TREATMENT AT THE NEAREST EMERGENCY ROOM OR DIAL 911.
No Medical Advice; Not a medical device; Not for Emergencies
Hekavor does not offer medical advice or diagnoses, or engage in the practice of medicine. Our Services are not intended to be a substitute for professional medical advice, diagnosis, or treatment and are offered for informational and communicative purposes only. The Services are not intended to be, and must not be taken to be, the practice of medicine, nursing, pharmacy or other healthcare advice by Hekavor.
The Services are not meant to diagnose or treat any conditions - only your medical professional can determine the right course of treatment for you and determine what is safe, appropriate and effective based on your needs. Reliance on any information provided by Hekavor or in connection with the Services is solely at your own risk. You are solely responsible for any decisions or actions you take based on the information and materials available through the Services.
You acknowledge that the provision of Services/Content does not create a medical professional/patient relationship between you and Hekavor or between you and any other individual or entity, and does not constitute an opinion, medical advice, or diagnosis or treatment. Health Care providers and patients should always obtain applicable diagnostic information from appropriate trusted sources. Health Care Providers should never withhold professional medical advice or delay in providing it because of something they have read in connection with our Services.
Hekavor's Service has not been evaluated or approved by health regulators (such as the U.S. Food and Drug Administration) because it is not intended for diagnosing, treating, curing, or preventing any disease. By using the Service, you understand these limitations and agree that Hekavor's role is supplemental and educational, not diagnostic or prescriptive.
Artificial intelligence disclosure
You acknowledge that we use artificial intelligence for certain aspects of our Services, and that outputs may not be complete or error-free, and you agree to review and confirm the accuracy of the information you provide before submitting the same to your Health Care Provider. You acknowledge that inaccurate inputs may lead to inaccurate outputs.
We use artificial intelligence models responsibly by validating and testing our Services, monitoring performance, and correcting identified errors where reasonably possible. We also protect your privacy and comply with applicable privacy laws.
While Hekavor strives for accuracy, we make no warranty that the information or recommendations provided are error-free or scientifically validated. AI models may be limited by the data they were trained on and might not account for every personal factor or latest research. You acknowledge that outputs are probabilistic estimates and may be incomplete, inaccurate, or unsuitable for your specific circumstances. You acknowledge that artificial intelligence models are continuously evolving and may improve over time.
What about messaging?
Hekavor may facilitate SMS communications in connection with Health Care operations, including patient intake and appointment-related updates.
Patients may receive a one-time transactional SMS message from their Health Care Provider via Hekavor to access a secure intake form. This initial message is strictly transactional and does not constitute ongoing messaging consent.
Within the intake process, patients are presented with an explicit SMS consent option via an unchecked checkbox. By opting in, patients agree to receive additional SMS messages from Hekavor related to intake completion, appointment reminders, and care coordination. Message frequency may vary. Message and data rates may apply.
Providers similarly provide SMS consent during account creation via an unchecked checkbox before receiving Service-related notifications.
No additional SMS messages are sent unless the user provides consent directly within the Hekavor Services.
Users may opt out of SMS communications at any time by replying STOP to any message. Users may reply HELP for assistance. Opting out may limit the ability to receive important updates related to intake or appointments.
Hekavor does not use SMS for marketing or promotional purposes.
Are there restrictions in how I can use the Services?
You represent, warrant, and agree that you will not provide or contribute anything, including any content, to the Services, or otherwise use or interact with the Services, in a manner that:
- infringes or violates the intellectual property rights or any other rights of anyone else (including Hekavor);
- violates any law or regulation, including, without limitation, any applicable export control laws, privacy laws or uses the Services for any other purpose not reasonably intended by Hekavor;
- is dangerous, harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;
- jeopardizes the security of your Hekavor secure access link or anyone else's (such as allowing someone else to use your secure access link as you);
- attempts, in any manner, to obtain the secure access link or security information of any other user;
- violates the security of any computer network, or cracks any passwords or security encryption codes;
- runs Maillist, Listserv, any form of auto-responder or "spam" on the Services, or any processes that run or are activated while you are not logged into the Services, or that otherwise interfere with the proper working of the Services (including by placing an unreasonable load on the Services' infrastructure);
- "crawls," "scrapes," or "spiders" any page, data, or portion of or relating to the Services or Content (through use of manual or automated means);
- introduces software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of the Services;
- copies or stores any significant portion of the Content other than the user summary provided to you at the end of the conversation with the clinical assistant; or
- decompiles, reverse engineers, or otherwise attempts to obtain the source code or underlying ideas or information of or relating to the Services.
A violation of any of the foregoing is grounds for termination of your right to use or access the Services.
What are my rights in the Services?
All content and materials available through the Service, including software, algorithms, text, graphics, logos, trademarks, service marks, images, reports, questions, structure and formats, prompts, summaries, insights, data compilations, illustrations (all of the foregoing, the "Content") and the overall look and feel of the Service, are intellectual property owned by or licensed to Hekavor. These are protected by copyright, trademark, patent, and other intellectual property laws. We reserve all rights in and to our intellectual property. You promise to abide by all copyright notices, trademark rules, information, and restrictions contained in any Content you access through the Services, and you won't use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell, commercialize, create derivative works or otherwise exploit for any purpose any Content not owned by you without prior consent of Hekavor or in any way that violates the rights of Hekavor.
Limited User License: Subject to your compliance with these Terms, Hekavor grants you a personal, non-exclusive, non-transferable, revocable, limited license to use Content solely for purposes of using the Services. Use, reproduction, modification, distribution, translation, publication, creation of derivative works, storage or otherwise using any Content for any purpose other than using the Services is expressly prohibited without prior written permission from us. The Service and Content is licensed - not sold. No title to or ownership of the Service or Content is transferred to you. You may not remove, alter, or obscure any copyright notice or any other proprietary notice that appears on or in the Service.
User-Provided Content: You retain ownership of content you provide. However, to the extent necessary for us to operate and improve the Service, you grant Hekavor a worldwide, royalty-free, sublicensable license to use, host, store, reproduce, modify, adapt, and create derivative works from your content for the purpose of providing, customizing and improving the Service. User-provided content does not include our derivatives of that information. Derivatives may include summaries, reports, de-identified or aggregated data, that we derive from the original user-provided content. We own this derivative content and may use such derivative content for any lawful business purpose in accordance with our Privacy Policy, such as to provide, customize and improve the Service, without any obligation or accounting to you. If you submit suggestions or feedback to us ("Feedback"), you agree that such Feedback is provided voluntarily and we are free to use it without any obligation to you.
Who is responsible for what I see and do on the Services?
We do not control and have no obligation to take any action regarding how you interpret any conversation with the clinical assistant or any actions you may take as a result of such interactions. You acknowledge that any such conversations are for informational purposes only. To the fullest extent permitted by applicable law, you agree that your use of, and reliance on, such conversations is at your own risk, and you release Hekavor from any and all liability arising out of or related to your interaction with the clinical assistant. You are responsible for all responses you contribute, in any manner, to the Services, and you represent and warrant you have all rights necessary to do so, in the manner in which you contribute it.
The Services may contain links or connections to third-party websites or services that are not owned or controlled by Hekavor. When you access third-party websites or use third-party services, you accept that there are risks in doing so, and that Hekavor is not responsible for such risks.
Hekavor has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any third-party websites or by any third party including your Health Care Provider that you interact with through the Services. By using the Services, you release and hold us harmless from any and all liability arising from your use of any third-party website or service.
If there is a dispute between you and your Health Care Provider, you agree that Hekavor is under no obligation to become involved. In the event that you have a dispute with your Health Care Provider, you release Hekavor, its directors, officers, employees, agents, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and/or our Services. You shall and hereby do waive California Civil Code Section 1542 or any similar law of any jurisdiction, which says in substance: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
Will Hekavor ever change the Services?
We're always trying to improve our Services, so they may change over time. We may suspend or discontinue any part of the Services, or we may introduce new features or impose limits on certain features or restrict access to parts or all of the Services. We reserve the right to remove any Content from the Services at any time, for any reason (including, but not limited to, if someone alleges you contributed that content in violation of these Terms), in our sole discretion, and without notice.
Do the Services cost anything?
The Services are currently provided free of charge. We reserve the right to introduce fees for some or all of the Services at any time. If fees are introduced, you will be informed prior to commencing a session or use of the Services that carries a fee. By proceeding with such session or use, you agree to pay all applicable fees disclosed to you at that time. If you do not agree to the applicable fees, you must not proceed with the use of such Services.
What if I want to stop using the Services?
You may stop using the Services at any time by choosing not to initiate or continue any session. Because access to the Services is session-based, there is no ongoing obligation to use the Services. Certain provisions of these Terms that by their nature should survive will continue to apply even after you stop using the Services. By way of example, all of the following will survive termination: any obligation you have to indemnify us, any limitations on our liability, any terms regarding ownership or intellectual property rights, and terms regarding disputes between us, including without limitation the arbitration agreement.
What else do I need to know?
- Warranty Disclaimer. Hekavor and its licensors, suppliers, partners, parent, subsidiaries or affiliated entities, and each of their respective officers, directors, members, employees, consultants, contract employees, representatives and agents, and each of their respective successors and assigns (Hekavor and all such parties together, the "Hekavor Parties") make no representations or warranties concerning the Services, including without limitation regarding any Content contained in or accessed through the Services, and the Hekavor Parties will not be responsible or liable for the accuracy, copyright compliance, legality, or decency of material contained in or accessed through the Services or any claims, actions, suits procedures, costs, expenses, damages or liabilities arising out of use of, or in any way related to your participation in, the Services. The Hekavor Parties make no representations or warranties regarding suggestions or recommendations of services or products offered or purchased through or in connection with the Services. THE SERVICES AND CONTENT ARE PROVIDED BY HEKAVOR (AND ITS LICENSORS AND SUPPLIERS) ON AN "AS-IS" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
- Limitation of Liability. TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE) SHALL ANY OF THE HEKAVOR PARTIES BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING DAMAGES FOR LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION. WITHOUT LIMITING THE FOREGOING, HEKAVOR PARTIES SHALL NOT BE RESPONSIBLE FOR THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION PROVIDED THROUGH THE SERVICES, INCLUDING ANY OUTPUTS, REPORTS, OR SUMMARIES GENERATED USING ARTIFICIAL INTELLIGENCE, OR FOR ANY DECISIONS MADE BY YOU OR YOUR HEALTH CARE PROVIDER BASED ON SUCH INFORMATION. (B) ANY SUBSTITUTE GOODS, SERVICES OR TECHNOLOGY, (C) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF ONE-HUNDRED ($100) DOLLARS OR (D) ANY MATTER BEYOND OUR REASONABLE CONTROL.
- Indemnity. You agree to indemnify and hold the Hekavor Parties harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys' fees) arising from or in any way related to any claims relating to (a) your use of the Services (including any actions taken by a third party using your secure access link), and (b) your violation of these Terms or our Privacy Policy. In the event of such a claim, suit, or action ("Claim"), we will attempt to provide you notice of the Claim (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder).
- Assignment. You may not assign, delegate or transfer these Terms or the Privacy Policy or your rights or obligations hereunder, in any way (by operation of law or otherwise) without Hekavor's prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without consent.
- Governing law. These Terms and the Privacy Policy will be governed exclusively by the laws of the State of California without reference to principles of conflicts of law. All actions relating directly or indirectly to these Terms and the Privacy Policy will be brought and litigated in the state courts sitting in Santa Clara County, California, or, for federal courts, the United States District Court for the Northern District of California. You expressly agree and consent to the sole and exclusive jurisdiction of such courts and to venue therein.
- Dispute resolution. This section affects your rights. Please read it carefully. Any dispute or claim relating in any way to your use of the Service or Content provided by or through the Service that cannot be resolved between you and Hekavor will be finally and exclusively resolved by binding individual arbitration under the JAMS Streamlined Arbitration Rules and Procedures (the "Rules") then in effect. You and Hekavor hereby expressly waive trial by jury. You may assert your claim in small claims court if your claim qualifies. You may only bring claims on your own behalf. You and Hekavor agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. This dispute resolution provision will be governed by the Federal Arbitration Act. Judgment on the award rendered by the arbitrator may be entered in any court having competent jurisdiction. Any provision of applicable law notwithstanding, the arbitrator will not have authority to award damages, remedies or awards that conflict with these Terms or the Privacy Policy. This arbitration agreement will survive the termination of your relationship with us. You and Hekavor agree that you or Hekavor may bring suit in court to enjoin infringement or other misuse of intellectual property rights.
Payment of all filing, administration, and arbitrator costs and expenses will be governed by the Rules, except that if you demonstrate that any such costs and expenses owed by you under those rules would be prohibitively more expensive than a court proceeding, Hekavor will pay the amount of any such costs and expenses that the arbitrator determines are necessary to prevent the arbitration from being prohibitively more expensive than a court proceeding (subject to possible reimbursement as set forth below). Fees and costs may be awarded as provided pursuant to applicable law. If the arbitrator finds that either the substance of your claim or the relief sought in the demand is frivolous or brought for an improper purpose then the payment of all fees will be governed by the Rules. In that case, you agree to reimburse Hekavor for all monies previously disbursed by it that are otherwise your obligation to pay under the applicable rules.
To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to contact@hekavor.com.
- Miscellaneous. You are solely responsible for paying, withholding, filing, and reporting all taxes, duties, and other governmental assessments associated with your use of the Services. Hekavor may, where required by applicable law, or at its discretion, collect or withhold certain taxes on your behalf. The failure of either you or us to exercise, in any way, any right herein shall not be deemed a waiver of any further rights hereunder. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that these Terms shall otherwise remain in full force and effect and enforceable. You and Hekavor agree that these Terms and the Privacy Policy are the complete and exclusive statement of the mutual understanding between you and Hekavor, and that they supersede and cancel all previous written and oral agreements, communications and other understandings relating to the subject matter of these Terms and the Privacy Policy. You hereby acknowledge and agree that you are not an employee, agent, partner, or joint venture of Hekavor, and you do not have any authority of any kind to bind Hekavor in any respect whatsoever. Except as expressly set forth in the sections above, you and Hekavor agree there are no third-party beneficiaries intended under these Terms.
